Agreement of Services

1. The Parties

This Agreement of Services ("Agreement") is between Scale Your Biz Inc., a British Columbia, Canada corporation operating publicly as Diagaxis ("Diagaxis", "we", "us"), and the individual or entity identified in an accepted Order Form or checkout confirmation ("Customer", "you").

2. Incorporation of Scope

The precise scope of your engagement is defined exclusively by the Order Form or checkout confirmation you accept. Only the specific solutions, deliverables, price, term length, included quantities, activation conditions, and special terms expressly shown and accepted in that document become part of this Agreement.

3. No Catalogue Incorporation

General website descriptions, marketing materials, and unselected services do not form part of this Agreement. Diagaxis provides various operating protocols, but you are purchasing only the specific items listed in your Order Form.

4. Billing, Payment, and Usage

4.1 Payment Terms. You agree to pay the fees specified in your Order Form. Recurring subscriptions are billed automatically to the payment method on file on the corresponding monthly or annual date.

4.2 Usage and Overage. Additional usage charges (such as communication segments, AI inference, or transaction volume) may apply only when your selected Order Form or a clearly linked current rate card disclosed them before acceptance. We do not impose undisclosed surprise charges.

5. Activation and Service Expectations

5.1 Activation. We will provision and activate your selected systems according to the timeline specified in your Order Form, provided you supply the necessary access, information, and cooperation.

5.2 Customer Responsibilities. You are responsible for ensuring that your use of our systems complies with all applicable laws in your jurisdiction. You must provide accurate information and maintain authorized access to any third-party platforms required for our services to function.

6. Changes, Cancellation, and Refunds

6.1 Cancellation. You may cancel your subscription according to the notice period specified in your Order Form. If no period is specified, you may cancel at any time before your next billing cycle to prevent future charges.

6.2 Refunds. Unless explicitly stated otherwise in your Order Form or required by applicable consumer protection law, fees paid for completed or active service periods are non-refundable.

6.3 Suspension. We reserve the right to suspend services if your payment fails or if you violate our Terms of Use.

7. Intellectual Property and Data

Your business data remains yours. The proprietary protocols, systems, and AI configurations provided by Diagaxis remain the intellectual property of Scale Your Biz Inc. For details on data handling and privacy, please review our Privacy Policy.

8. Third-Party Services

Our systems may integrate with or rely upon third-party providers. We are not responsible for outages, policy changes, or service discontinuations originating from those third parties.

9. Limitations

To the maximum extent permitted by law, our liability is limited to the total fees paid by you to us during the twelve (12) months immediately preceding the claim. For the broader limitation framework, please refer to our Terms of Use.

10. Governing Law and Dispute Resolution

The governing-law and dispute-resolution provisions in our Terms of Use apply to this Agreement, except where an accepted Order Form expressly states otherwise or non-waivable law requires otherwise.

11. Changes to Terms and Associated Policies

We may update this Agreement from time to time. Material changes will be communicated to active customers. This Agreement operates in conjunction with our Terms of Use, Privacy Policy, and AI Transparency Statement.
