Agreement of Services
Effective Date: May 30, 2026
This Agreement of Services governs the offer-specific deliverables, activation timelines, scope boundaries, and refund policy of each paid Diagaxis Offer. The general Terms of Use governs the site, account, acceptable use, intellectual property, dispute resolution, and affiliate program structure. Both documents apply concurrently. If a conflict arises between this Agreement and the Terms of Use on an Offer-specific matter, this Agreement controls; on all other matters the Terms of Use controls.
The operating entity is Scale Your Biz Inc (a British Columbia, Canada corporation) operating under the trade name Diagaxis. Compliance covers US state-of-residence applicable law (CCPA/CPRA for California residents; state consumer-protection acts for refund rules) and Canadian operator obligations (CASL / PIPEDA / Quebec Law 25).
1. Purpose and Scope
This Agreement of Services ("Agreement") describes the offer-specific deliverables, activation timelines, service-level commitments, billing mechanics, refund policy, and scope boundaries that apply when a Customer purchases a Diagaxis-branded Offer.
This Agreement is incorporated into the Terms of Use by reference. By completing checkout for any Diagaxis Offer, Customer accepts both this Agreement and the Terms of Use.
This Agreement applies to all Offers listed in Section 2. Each Offer's specific deliverable scope is described in the corresponding subsection.

All pricing is in United States Dollars (USD), the sole catalogue currency for all Diagaxis-branded Offers.
3. Per-Offer Scope of Service
Each subsection describes what is included in the named Offer ("Included Deliverables"), what is explicitly out of scope ("Not Included"), and any niche or operational scope restrictions. Customer's purchase of an Offer is a purchase of the Included Deliverables only.
3.1 Digital Front Desk — $297 USD / month
Function: Makes the business reachable, responsive, and current via a connected front layer.
Included Deliverables:
- Installed front-desk infrastructure: voice-AI front desk that speaks as the Customer's business, handling frequently asked questions, current promotion or event information, lead capture, and voicemail
- Realtor variant can answer from descriptions for up to 5 active listings
- Connected scan-to-call / call / FAQ / voicemail / lead-capture surface
- Activation within twenty-four (24) to forty-eight (48) hours of checkout completion
- Ongoing operation of the deployed front-desk system
Not Included:
- Full inbox or DM management (this is Flywheel Response or Revenue Root System scope)
- Review capture loop (this is Word of Mouth Loop scope)
- Booking-system installation (Revenue Root System scope)
- Marketing services, advertising campaigns, or consulting hours
- Naming the deployed voice agent as "Diagaxis" — the deployed agent is un-named and speaks as the Customer's business
Activation guarantee: if installation is not completed within forty-eight (48) hours of checkout completion, subscription pauses at no charge until installation is live.
3.2 Your Digital Front Connect — $297 USD / month
Function: Gives a service business a complete, always-current digital front: a multi-page website that is the product, an AI chat widget that answers and captures, a monthly content + site refresh, and an owner-command layer to update the site in plain language — without lifting a hand.
Niche scope: available across four niche lanes — beauty / personal-care, home-service / trades, wellness / local-practitioner, and local-professional-service. Diagaxis indicates availability per lane on the Offer page.
Included Deliverables:
- A complete multi-page website (ten (10) or more pages: branding, service pages, and a booking or quote-request call-to-action) — the website is the core product
- A full AI chat communication widget loaded with the Customer's niche knowledge base: answers pre-booking questions and captures contact and context
- A contact form with lead capture into a light pipeline (capture into stages and tags only — this is lead capture, not the full speed-to-lead system of Revenue Root System)
- One (1) personalized monthly blog / authority article, topic-targeted to the Customer's niche (no ranking guarantee — see 10.1)
- One (1) monthly visible site refresh (content, layout, or hero update)
- QR communication entry and read-only display of the Customer's existing public reviews
- Owner-command layer: the Customer (operator) may command their own site in plain language within a permissioned envelope (operator-only; not exposed to the Customer's end-customers)
- Activation timeline as specified at checkout
Not Included:
- Voice AI front desk, phone, or SMS channels (this is Digital Front Desk scope — Your Digital Front Connect is text / web only)
- Review capture loop or referral program (Word of Mouth Loop scope)
- Google Business Profile management (Flywheel Response scope)
- Full speed-to-lead pipeline, booking-system installation, or customer-experience orchestration (Revenue Root System scope) — the pipeline here is lead capture into stages and tags only
- Newsletter production (not in current scope)
Submission channel note: leads for this Offer may arrive via Diagaxis affiliates (see Terms of Use 12) in addition to direct purchase. The submission channel does not alter the scope of service Customer receives.
3.3 Word of Mouth Loop — $497 USD / month
Function: Turns customer experience into visible proof and ongoing trust via a closed review and referral loop.
Included Deliverables:
- Rail 1: review capture loop installed against Customer's customer-experience event(s)
- Rail 2: referral workflow installed with per-customer referral links + conversion tracking
- Public business profile creation or claim (if Customer does not already have one), including verification cooperation
- Reward configuration per Customer's selected reward (documented in a signed Reward Addendum at onboarding)
- Tracking of referral conversions and notification to Customer when a referral converts
- Approval-Gated Review Replies: the system drafts review replies, Customer approves before publication; Customer reviews remain Customer-written
- Multi-location coverage included at flat $497/mo (no per-location uplift) for Customers with multiple business locations
Three-Phase Activation SLA:
- Phase 1 (Customer): seven (7) days post-checkout to complete onboarding form; failure to complete (with no extension granted) results in full refund and subscription cancellation
- Phase 2 (Customer): seven (7) days post reward-options-sent to sign the Reward Addendum; failure to complete (with no extension granted) results in full refund and subscription cancellation
- Phase 3 (Diagaxis SLA): seventy-two (72) hours post Reward Addendum signed to live activation; if not met, billing pauses at no charge until live
- Suspend mechanisms: third-party verification queues (e.g., Google Business Profile verification, A2P 10DLC) pause Diagaxis's SLA clock; engagement extensions (up to two per contact) may extend Customer phases by 7 days each
Not Included:
- Loyalty program, points system, RFM segmentation, VIP tiers (this is Continuity System scope)
- Content marketing (Flywheel Response scope)
- Fake or incentivized reviews (prohibited — see 6 below)
- Reward fulfillment with referrer or referee (Customer fulfills the Reward redemption directly; Diagaxis configures the rail and is not a party to the Reward transaction)
Healthcare aggregator add-on (chiropractic / medspa / veterinary): for Customers whose review platform list includes Healthgrades / RateMDs / Vitals / RealSelf / similar healthcare-specific platforms not natively supported, an aggregator add-on (e.g., Birdeye / Podium / SOCi) is available at additional cost, disclosed at the point of scoping during Phase 1 onboarding.
3.4 Revenue Root System — $997 USD / month
Function: Stabilizes revenue with speed-to-lead, structured experience, and follow-through. This is the installed foundation every other Core and Expansion Offer is built on.
Included Deliverables:
- Speed-to-lead response infrastructure (first-contact coverage across inquiry / call / form)
- Structured customer-experience flow (response, booking, follow-through layers)
- 30-Day Implementation Challenge: Customer's installed system is brought through a structured 30-day commissioning cadence by Diagaxis
- Full R6 system audit at the start of the engagement
- Ana voice agent (sales-side, at point of purchase) and Maya voice agent (Customer-experience side, post-install)
- Activation within seventy-two (72) hours of checkout completion
- Ongoing operation of the installed system
Not Included:
- Loyalty / retention mechanics (Continuity System scope)
- Multi-stage relationship-orchestration mechanics (Relationship Continuum scope)
- Marketing services, advertising campaigns, or consulting hours
Activation guarantee: if installation is not completed within seventy-two (72) hours of checkout completion, subscription pauses at no charge until installation is live.
3.5 Flywheel Response — $997 USD / month
Function: Builds visibility that compounds plus a DM-keyword capture path.
Included Deliverables:
Month-1 Foundation:
- 4-Video Authority Network: four (4) authority videos produced for the Customer's primary platform, with the 6-step intra-video system applied
- One-time foundation cadence absorbed into Month 1 (no separate setup fee)
Monthly Engine (recurring):
- Four (4) Search Trust Articles per month, published or ready-to-post depending on Diagaxis's access to Customer's blog surface
- Three (3) short-form videos per week
- Daily Instagram cadence
- Four (4) Google Business Profile posts per month, scheduled and approved per Customer's brand voice
- DM Keyword Capture Path on Customer's primary social channel
Not Included:
- Full inbox management or DM-conversation handling (Diagaxis builds the capture path; Customer or Revenue Root System tier handles the conversation thread)
- Monthly long-form trust video
- Technical SEO services or backlink building
- Ranking guarantees of any kind
- Google Business Profile management beyond the scheduled-posts deliverable
- Newsletter production
- Website management
Activation timeline: Month-1 Foundation is deployed across the first thirty (30) days post-checkout completion. Monthly Engine begins thereafter and recurs monthly.
3.6 Continuity System — $2,000 USD / month
Build status: currently paused. Reserved for Phase 3 customer-journey ownership (reactivation, referral programs, revival of dormant customers, RFM segmentation, tiered reward cadences, retargeting). Build resumes once the four pre-Core and Core Offers accumulate signal-tuning maturity in production.
Included Deliverables when active (subject to lawyer review at unpause):
- RFM (Recency / Frequency / Monetary) segmentation against Customer's CRM data
- Tiered reward cadences (continuous mechanic, distinct from the one-time binary reward in Word of Mouth Loop)
- Win-back sequences for lapsed Customer end-customers
- Retargeting layer
Status today: Diagaxis is not currently accepting new purchases of Continuity System at scale. Customers interested are advised to start with Revenue Root System or Flywheel Response.
3.7 Relationship Continuum — $3,500 USD+ / month
Build status: in active development; available at present only for hospitality-vertical customers (hotels, resorts) as a small-scale mini-test. Target launch for the generalized Offer: September 2026 (subject to mini-test outcomes).
Included Deliverables when active (subject to lawyer review and per-engagement scope):
- Synthesis of Care Continuum framework + Continuity System mechanics + Hospitality OS components
- Multi-stage relationship orchestration designed for mature businesses with established customer bases
- Per-engagement scope determined at intake and documented in a per-Customer Statement of Work
Status today: not accepting non-hospitality customers. Hospitality customers should contact Diagaxis directly for scoping.
4. Pricing and Billing
4.1 Currency. All Offers are priced and billed in United States Dollars (USD). USD is the sole catalogue currency; no parallel currency catalogue exists.
4.2 Recurring billing. Offers are billed monthly recurring. The first billing cycle starts upon checkout completion. Each subsequent cycle bills on the same day of the following month.
4.3 Setup fee. No setup fee is charged for any Offer in 2 unless explicitly stated on the Offer's checkout page at the time of purchase.
4.4 Payment processing. All payments are processed by Stripe, Inc. as third-party payment processor. Diagaxis does not store full payment card data; Diagaxis stores payment-method tokens and the last four digits of the payment method only.
4.5 Statement descriptor. Customer's payment-card statement will display a Diagaxis statement descriptor identifying both the Diagaxis brand and the specific Offer (e.g., DIAGAXIS DFD for Digital Front Desk, DIAGAXIS RRS for Revenue Root System, DIAGAXIS FLYW for Flywheel Response).
4.6 Taxes. Customer is responsible for any applicable sales, use, GST, HST, PST, VAT, or other taxes imposed by Customer's jurisdiction. Where Diagaxis is legally required to collect such tax, the tax is added to the invoice at checkout.
5. Activation and Onboarding
5.1 Activation windows. The activation window for each Offer is specified in 3 and is the commitment Diagaxis makes for live system activation following checkout completion (or, for Word of Mouth Loop, following Reward Addendum signature per the Three-Phase SLA).
5.2 Activation guarantee. If Diagaxis fails to activate within the committed window, subscription billing pauses at no charge to Customer until activation is live. Customer is not billed for any period during which the installed system is not operational due to Diagaxis-side delay.
5.3 Customer-side delays. If activation is delayed because Customer has not provided required information (onboarding form, configuration choices, access, Reward Addendum signature where applicable), Diagaxis's activation clock pauses for the duration of the Customer-side delay. After a documented engagement-extension limit, failure to provide required information may result in subscription cancellation with refund per 8.
5.4 Third-party delays. Some installations depend on third-party verification queues (e.g., Google Business Profile verification, A2P 10DLC SMS registration, payment-processor approvals). Diagaxis's activation clock pauses for the duration of third-party-controlled delay, and Customer is informed via weekly status communications.
6. Customer Obligations
By purchasing any Offer, Customer agrees to:
- Provide accurate and complete business information during onboarding and configuration
- Provide and maintain access to systems Diagaxis is required to install into (Customer's website, Google Business Profile, CRM, social profiles), as applicable to the purchased Offer
- Maintain valid payment credentials throughout the subscription term
- Honor any commitments configured into the installed system (rewards offered, referral-program terms, scheduled communications)
- Use Diagaxis-installed systems only for lawful business purposes and in compliance with all applicable laws in Customer's jurisdiction
- Not request or operate any system, content, or workflow that would violate the acceptable-use restrictions in Section 6 of the Terms of Use, including: soliciting fake, incentivized, or sentiment-restricted reviews ("only positive reviews") — only reviews of genuine Customer end-customer experiences may be solicited through Diagaxis-installed loops; soliciting unsolicited communications in violation of CAN-SPAM, CASL, GDPR, TCPA, or any other applicable communications law; operating in industries prohibited by Stripe's restricted business list
- Cooperate with verification steps required by third-party platforms (Google, payment processors, telecom registrars)
7. Diagaxis Obligations
Diagaxis agrees to:
- Deliver the Included Deliverables described in 3 for the purchased Offer
- Activate the installed system within the committed activation window per 5, subject to Customer-side and third-party delays
- Operate and maintain the installed system for the duration of the active Service Period
- Provide ongoing support through the Customer-experience surface appropriate to the Offer
- Communicate material status changes through transactional email to the address on file
- Process Customer privacy-rights requests per the Privacy Policy
8. Cancellation, Pause, Refund
8.1 Cancellation. Customer may cancel any active subscription at any time via the Stripe Customer Portal cancellation link, or by emailing the cancellation request. Cancellation takes effect at the end of the current billing cycle. Customer's installed system remains operational through the end of the paid period unless Customer requests immediate deactivation in writing.
8.2 Refund policy. Default position: post-activation Service Periods are non-refundable. Once the installed system has been brought to live activation, fees paid for the Service Period during which the system was operational are not refunded. Cancellation stops future billing only.
Refund-eligible scenarios are limited to: Customer Phase 1 timeout (Word of Mouth Loop only); Customer Phase 2 timeout (Word of Mouth Loop only); State-law overrides (Customer's state-of-residence consumer-protection statute may grant a non-waivable refund right that controls).
Activation-guarantee pause (Diagaxis-fault delay) is not a refund — subscription pauses at no charge until live. Third-party delays are not a refund — SLA clock pauses, Customer updated weekly, subscription continues at no penalty.
8.3 Dunning policy (failed payment). If a recurring charge fails, Diagaxis's payment processor retries on a three-stage cadence. If all three retries fail and Customer has not updated payment credentials, the subscription enters a paused state and the installed system is suspended. The subscription is canceled if payment is not restored within fifteen (15) days of the failed-payment grace period, per Terms of Use 11.2.
8.4 Subscription pause (Customer-initiated). Not a standard feature of any Offer in 2. A pause may be granted case-by-case for documented service-interruption events (business closure, force-majeure-type events), requires advance written approval, is not a substitute for cancellation, and may not be used to skip months of billing on an otherwise active business.
8.5 Post-cancellation data access. Upon cancellation, Customer retains read-only access to Customer's own data through Diagaxis's interface for thirty (30) days. After thirty (30) days, Customer data is deleted per the Privacy Policy retention schedule, subject to legal-retention exceptions.
9. Service-Level Expectations
9.1 Uptime. Diagaxis operates the installed front-end systems on third-party infrastructure (Stripe, GoHighLevel / LeadConnector, Mailgun, AI inference providers, DNS / CDN providers). Diagaxis commits to commercially reasonable efforts to maintain availability and to communicate material outages. Diagaxis does not provide a contractual uptime SLA with service credits at the price tiers in 2.
9.2 Support response times: Service-affecting outage — one (1) business day; Configuration request or system question — two (2) business days; Billing or cancellation request — one (1) business day; Pre-purchase or scoping question — two (2) business days. Targets are commercially reasonable effort, not contractual guarantees.
9.3 Voice agent availability. Voice agents deployed within the Customer-experience surface are available consistent with the Offer's scope in 3. Diagaxis reserves the right to update voice-agent configurations and capabilities, notifying Customer of material configuration changes.
10. Limitations and Disclaimers
10.1 No guarantee of business outcomes. Diagaxis installs operational infrastructure. Diagaxis does not guarantee specific business outcomes — including revenue increases, lead-volume increases, review-volume increases, conversion-rate improvements, search ranking improvements, or any other measurable business metric. Outcomes depend on factors outside Diagaxis's control.
10.2 No professional-services substitution. Diagaxis services do not constitute legal, accounting, medical, veterinary, tax, financial, or any other professional advice. Customer is solely responsible for compliance with all applicable laws and regulations governing Customer's business.
10.3 Third-party dependencies. The installed systems depend on third-party platforms (Google Business Profile, Stripe, telecom providers, AI inference providers, CRM platform, email delivery platform). Diagaxis is not responsible for outages, policy changes, pricing changes, or service discontinuations originating at these third parties.
10.4 Aggregate liability cap. The limitations of liability in Section 9 of the Terms of Use apply. Diagaxis's total cumulative liability does not exceed the total fees paid by Customer to Diagaxis during the twelve (12) months immediately preceding the claim.
11. Affiliate Program Reference
The Diagaxis affiliate program is governed by Section 12 of the Terms of Use and by the separate Affiliate Program Agreement signed at affiliate onboarding. The three-tier structure (Tier 1 Partner, Tier 2 Developer, Tier 3 Recommender) and its commission terms are described in the Terms of Use. Affiliate participation does not alter the scope of service Customer receives under this Agreement.
12. Modifications to this Agreement
Diagaxis may update this Agreement at any time. Material changes will be communicated to active Customers at least thirty (30) days before they take effect, via email to the address on file. Continued use after the effective date constitutes acceptance. The current version is always available at diagaxis.io/agreement-of-services.
13. Governing Law and Dispute Resolution
This Agreement is governed by the same governing-law and dispute-resolution terms as the Terms of Use (Section 14). For US Customers, disputes are resolved through binding arbitration under the rules of the American Arbitration Association, with venue and rules as confirmed by counsel. For Canadian Customers, the exclusive jurisdiction of the courts of British Columbia applies. These provisions do not limit Customer's rights under any applicable consumer-protection statute that cannot be waived by contract.

15. Effective Date
